Tech Takes LLC – Ultimate Automation

02Ultimate Automation Service Description

Ultimate Automation is a subscription service that enables customers to allocate digital assets for use by automated systems that execute sports predictions on the customer's behalf.

Key characteristics include:

• Deposits made in USDT (ERC-20 on the Ethereum blockchain)
• Automated execution conducted through independent third-party systems
• Continuous operation without manual customer involvement

Ultimate Automation is not:

• An investment fund, collective investment scheme, or pooled investment vehicle
• A hedge fund, managed account, or fiduciary service
• A security, derivative, or regulated financial instrument
• An advisory or discretionary investment service

No representation or guarantee is made regarding outcomes, profitability, or performance.

03Third-Party Services

Execution of predictions and related wagering activity may be performed by independent third-party providers. Tech Takes does not control and is not responsible for:

• The availability, reliability, or performance of third-party systems
• Execution errors, delays, interruptions, or failures
• Outcomes of sports events or wagering activity

Use of third-party services is at the customer's own risk.

04User Obligations

By using the Services, you represent and agree that you:

• Are legally permitted to use the Services in your jurisdiction
• Will not use the Services in violation of applicable laws or regulations
• Will provide accurate, current, and complete information
• Accept full responsibility for all activity conducted through your account

You acknowledge that sports wagering involves risk and may result in partial or total loss of deposited funds.

05Digital Asset and Blockchain Risks

You acknowledge and accept the risks associated with digital assets and blockchain technology, including:

• Irreversible transactions
• Network congestion, delays, or outages
• Infrastructure or smart contract failures
• Volatility or de-pegging of stablecoins such as USDT
• Changes in the legal or regulatory treatment of digital assets

Tech Takes does not assume responsibility for losses arising from these risks.

06Suspension and Termination

Tech Takes may suspend or terminate access to the Services, in whole or in part, if:

• These Terms or the Risk Disclosure Statement are violated
• Continued access may expose the Company to legal or regulatory risk
• Such action is required to comply with applicable laws or third-party obligations

Termination may result in loss of access to the Services and related accounts.

07Limitation of Liability

To the maximum extent permitted by applicable law, Tech Takes shall not be liable for any indirect, incidental, consequential, or financial losses arising from:

• Use or inability to use the Services
• Automated execution errors
• Third-party service failures
• Sports outcomes or wagering losses

All use of the Services is at your own risk.

08Indemnification

You agree to indemnify and hold harmless Tech Takes and its affiliates from any claims, liabilities, losses, or expenses arising from:

• Your use of the Services

• Your failure to comply with applicable laws or regulations

09Geographic and Regulatory Restrictions

Ultimate Automation is not available to customers subject to United States jurisdiction.

You may not access or use Ultimate Automation if you:

• Are physically located in the United States
• Are a U.S. citizen or lawful permanent resident
• Maintain a primary residence in the United States
• Are otherwise subject to U.S. federal or state laws governing wagering, gambling, or financial services

By using Ultimate Automation, you represent that you are not subject to these restrictions and that use of the Services is lawful in your jurisdiction.

10Governing Law

These Terms shall be governed by and construed in accordance with the laws of The United States of America, without regard to conflict-of-law principles.

11Amendments

Tech Takes may amend these Terms at any time. Continued use of the Services following any update constitutes acceptance of the revised Terms.
